These Terms of Service (Terms) constitute a binding agreement between you (Customer, you, or your) and FoodFix (we, us, or our). These Terms govern your access to and use of FoodFix's website, applications, APIs, and related products and services (collectively, the Services). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
FoodFix reserves the right to update or amend these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website or through electronic communications. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
The Services are intended for individuals who are at least eighteen (18) years of age or who have reached the age of majority in their jurisdiction. By using the Services, you represent and warrant that you meet these requirements and have the legal capacity and authority to enter into this agreement and comply with all applicable laws and regulations.
You may be required to create an account to access certain features of the Services. You must provide accurate, complete, and up-to-date information during registration. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify FoodFix of any suspected unauthorized access to your account. FoodFix is not liable for any loss or damage arising from your failure to protect your account information.
You may use the Services only in compliance with these Terms and all applicable laws and regulations. You agree not to:
Our Services may allow you to create, upload, or submit content, including images, text, prompts, and other materials (User Content). You retain ownership of your User Content, but by submitting it, you grant FoodFix a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, process, reproduce, modify, adapt, publish, and display your User Content for the purpose of providing and improving our Services.
User Content. FoodFix does not monitor all User Content but reserves the right to remove any content that violates these Terms or that we deem objectionable.
You are solely responsible for ensuring that your User Content complies with applicable laws and does not infringe upon the rights of third parties, including intellectual property, privacy, and publicity rights. You must obtain all necessary permissions and consents before submitting User Content.
Except for User Content, all rights, title, and interest in and to the Services, including all software, designs, algorithms, interfaces, graphics, text, and other elements, are the exclusive property of FoodFix or its licensors. All trademarks, service marks, and trade names associated with the Services are owned by FoodFix or its affiliates.
Nothing in these Terms grants you any rights to use FoodFix's intellectual property without our prior written consent, except for the limited rights necessary to use the Services in accordance with these Terms. All rights not expressly granted are reserved.
When you use our Services to generate images or other AI-created assets (Generated Assets), you are granted a non-exclusive, worldwide, royalty-free license to use those assets for personal or commercial purposes, subject to these Terms and applicable laws. You are solely responsible for ensuring that your use of Generated Assets is legal, including compliance with intellectual property, publicity, and privacy rights.
You acknowledge that AI-generated content may not always be accurate, complete, or error-free. FoodFix makes no warranties regarding the quality, suitability, or fitness of any Generated Assets for any particular purpose.
If you purchase any paid features of the Services, you agree to provide accurate billing and payment information. You authorize FoodFix or our third-party payment processors to charge your chosen payment method for all applicable fees, taxes, and charges incurred in connection with your account. All fees are non-refundable except as required by law or as otherwise stated in writing by FoodFix.
We strive to keep our Services available and functioning at all times but do not guarantee uninterrupted or error-free operation. FoodFix may temporarily or permanently modify, suspend, or discontinue any part of the Services without notice. We shall not be liable for any losses resulting from such actions.
The Services are provided as is and as available without warranties of any kind, whether express or implied. FoodFix disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be secure, error-free, or that any defects will be corrected.
To the fullest extent permitted by law, FoodFix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.
You agree to defend, indemnify, and hold harmless FoodFix, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses arising from your use of the Services, your User Content, or your violation of these Terms.
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which FoodFix operates, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts located in such jurisdiction, unless otherwise required by applicable law.
FoodFix reserves the right to suspend or terminate your account or access to the Services at any time, for any reason, including violation of these Terms. Upon termination, all rights granted to you under these Terms will immediately cease, and you must stop using the Services.
These Terms constitute the entire agreement between you and FoodFix regarding your use of the Services and supersede all prior agreements, understandings, and communications related to the subject matter herein.
